## Querying This Documentation
This site has an agentic ask interface you may use to query the documentation dynamically by asking a question.

Perform an HTTP GET request on the following URL with the `ask` and `goal` query parameters:

```
GET https://docs.allocations.com/index.md?ask=<question>&goal=<user_goal>
```

`ask` is the immediate question: it should be specific, self-contained, and written in natural language.
`goal` is what the user is ultimately trying to achieve, the reason they need the answer. Sharing it helps GitBook give you a better, more relevant answer. A goal is most helpful when it describes the outcome the user wants rather than restating the question. For example, with `ask=how do I create an API token`, a goal like `automate deployments from our CI pipeline` lets GitBook tailor the answer to that use case.

The response will contain a direct answer to the question and relevant excerpts and sources from the documentation.

# Why Allocations?

Allocations is a global fund administration platform that allows you to easily set up and manage SPVs and Funds

<figure><img src="https://2766774711-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2F9IirLidzibYpEfSBave3%2Fuploads%2FqwslmyTRqEeD9vO4iWkt%2FScreenshot%202026-10-07%20at%209.07.01%E2%80%AFPM.png?alt=media&amp;token=b9c68beb-4aa1-4656-93fc-dcddf403bdcd" alt=""><figcaption></figcaption></figure>

### 1. Raise quickly and close deals faster <a href="#raise-quickly-and-close-deals-faster" id="raise-quickly-and-close-deals-faster"></a>

Get investors to the finish line faster. With each additional form in the SPV process, investors have a higher chance of dropping off or delaying their investment. With Allocations, the onboarding has 10x fewer form fields on average, significantly decreasing the time to invest and reducing the possibility of error.

### 2. Comprehensive end-to-end fund administration <a href="#comprehensive-end-to-end-fund-administration" id="comprehensive-end-to-end-fund-administration"></a>

We provide a comprehensive end-to-end fund administration solution

### 3. Turn one-time LPs into repeat investors <a href="#turn-one-time-lps-into-repeat-investors" id="turn-one-time-lps-into-repeat-investors"></a>

We make it easy for investors to save their information, so next time they do a deal with you, all it takes is one click.

# About this manual

## How to use this manual

Each chapter documents one screen. Start with the workspace you are in, then find the screen by its name in the sidebar or the deal's tab row.

Screenshots are examples. Details on your screen depend on your permissions and configuration.

* **Funds:** Chapters 02 to 14 cover the 12 sidebar screens and the Create Deal dialog.
* **Inside a Deal:** Chapters 15 to 27 cover the 13 tabs of an open deal, from Overview to Support.
* **Portfolio:** Chapters 28 to 36 cover the investor side of the platform, where you hold positions yourself.
* **Entities:** Chapter 37 covers the Entities workspace, where legal vehicles are formed and filed.

Every chapter follows the same order:

{% stepper %}
{% step %}

## **Introduction**

An opening line explains what the screen is for and when you would open it.
{% endstep %}

{% step %}

## Screenshot

An annotated screenshot shows the screen with numbered callouts on each component.
{% endstep %}

{% step %}

## Legend

A legend gives one line for each callout, naming the component and explaining what it does.
{% endstep %}

{% step %}

## Details

Sections cover the columns, statuses, and controls in detail.
{% endstep %}
{% endstepper %}

Notes in each chapter tell you what to check before you share a figure with an investor. If a task continues on a different screen, the chapter names that screen.

If you are new to the platform, read **Fund Manager Dashboard**, **Creating a deal**, **Deal Setup**, and **The Investors tab** first. Together, they take you from an empty workspace to a deal with investors in it.

## What changed

If you have used Allocations before, here are a few changes you will notice.

* **Workspace switcher:** Portfolio, Funds, and Entities are now at the top of the sidebar.
* **Funds sidebar:** Capital Calls, Investor Network, Membership Transfers, Syndicates, and Valuations now each have their own place in the sidebar.
* **Ask AI:** Ask AI is now on every screen. Press ⌘I to open it.
* **Product types:** The VC Fund product type is now called Fund.
* **Overview:** The Overview tab now shows raise progress as a percentage and has new Activity, Banking, and Assets panels.
* **Deal basics:** Setup now shows a checklist of eight items to finish before you publish a deal.

## The workspace switcher

Three workspaces sit at the top of the sidebar. The line below the switcher shows which workspace you are in.

* **Portfolio:** Holds the deals you invest in yourself.
* **Funds:** Holds the vehicles you raise and operate, which most of this manual covers.
* **Entities:** Holds the legal vehicles you form, manage, and file returns for.

## Funds navigation

The Funds sidebar holds 12 items in this order.

Dashboard · Deals · Valuations · Accounts · Taxes · Banking · Wire Requests · Capital Calls · Distributions · Investor Network · Membership Transfers · Syndicates

The Deals item shows the number of deals beside its name. Support and Resources are available from every screen, with your account beside them.

## The global header

Three controls run across the top of every screen.

* **Search (⌘K):** Searches deals, entities, identities, accounts, and more from any screen.
* **Ask AI (⌘I):** Answers questions about your deals and investors in plain language.
* **Appearance:** Switches the interface between light and dark display modes.

# Fund Manager

The Dashboard is the first screen in the Funds workspace. It brings together your deals, investors, and portfolio, so it is the place to start every day.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/IVvN0pqCyFHpTKMSp622/Unknown%20image)

1. **Workspace switcher:** Switches between Portfolio, Funds, and Entities, and changes the whole sidebar below it.
2. **Summary cards:** Show Asset Under Management, Total Investors, and Total Deals across your whole portfolio.
3. **Filter** Opens the filter panel, with the number of conditions applied in brackets.
4. **Status filters:** Filter the table by deal stage, from Draft to Test.
5. **Type row** Limits the table to one vehicle type: All, SPV, FUND, or Migration.
6. **Toolbar:** Lets you refresh the table, export it, or create a new deal.
7. **Total Signed and Total Wired** Show what investors have committed to each deal and how much of that money has arrived.
8. **Actions** Opens the deal on its Overview tab, where the raise and its outstanding work are summarized.

### The three summary cards

The three cards cover your whole portfolio: the capital you manage, your investors, and your deals.

* **Assets Under Management:** The capital you manage across every vehicle, shown with a quarter-over-quarter trend.
* **Total Investors:** The number of investors across all vehicles, counting someone invested in three deals once.
* **Total Deals:** Every deal in the workspace, including drafts and test vehicles.

> These cards show totals for your whole portfolio. The deal table below the cards shows each deal on its own row.

### Deal statuses

Seven status filters sit on the first filter row. Each deal has one of these statuses.

* **Draft:** The deal has been created and is awaiting your submission.
* **Submitted:** The deal has been submitted and is under review by Allocations.
* **Onboarding:** The deal is being set up, which is when most of Setup is completed.
* **Closing:** A close is in progress.
* **Close Requested:** A close has been requested and is awaiting review.
* **Closed:** The close is complete and the raise is finished.
* **Test:** A practice vehicle for trying out the platform, kept separate from your live deals.

> Filter out Test vehicles when you are reviewing your live portfolio, and exclude them from any screenshot shared with investors.

### Narrowing the table

Use search, Filter, the status filters, or the type row to show fewer deals in the table. You can combine them, such as searching for a name while a status filter is selected.

> If a deal you expect is out of view, check the number on the Filter button and clear any filter left from an earlier session.

### Reading the deal table

The table has nine columns. Select the arrows beside any column heading to sort the table.

* **Deal:** The name of the vehicle, shown beside its avatar.
* **Status:** The deal's current status, from Draft to Closed.
* **Type:** Whether the vehicle is an SPV or a Fund.
* **Raise Progress:** A progress bar, with the percentage and goal written out below it.
* **Management Fee:** The management fee percentage for the deal.
* **Carry:** The carried interest percentage for the deal.
* **Total Signed:** The total amount investors have signed for.
* **Total Wired:** The total amount that has arrived in the account.
* **Investors:** The number of investors in the deal.

### Exporting the table

Export downloads the table as filtered, so set your filters before exporting.

# Deals

The Deals screen lists every vehicle in the Funds workspace and is the quickest way to find one deal by its name, type, or status.

The Dashboard and this page list the same vehicles in the same nine columns. The Dashboard adds three portfolio summary cards for a daily review, while this page adds search and filters for finding a specific deal.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/RrZTak9MLHrtmpLeFAO8/Unknown%20image)

1. **Total deals:** Counts every deal in the workspace, including drafts and test vehicles.
2. **Search deals:** Finds a deal by typing any part of its name.
3. **Filter** Opens the filter panel, with the number of conditions applied in brackets.
4. **Status filters:** Filter the table by deal stage, so one filter shows every deal at that stage.

### Filtering

Use search, Filter, the status filters, or the type row to show fewer deals in the table. You can combine them, such as searching for a name while a status filter is selected.

> If a deal you expect is out of view, check the number on the Filter button and clear any filter left from an earlier session. Export follows your filters, so clear them when you want every deal in the file.

The type row and the status filters work separately, so check both when the table looks filtered.

### Opening a deal

Select Actions at the end of a row to open the deal on its Overview tab, described in **The Overview tab**.

# Creating a deal

Creating a deal takes three fields in one dialog: the product type, a deal name investors will recognize, and an optional phone number. Decide the product type first, because it sets how many assets the vehicle can hold and how many times it can close.

To start, select **Create Deal** on the Deals page, beside Export.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/LthyJGqTJcLcJOi44XhC/Unknown%20image)

1. **Product Type:** Choose Standard SPV, Premium SPV, or Fund, which sets how many assets and closes the vehicle allows.
2. **Pricing and fees:** Links to the price list for each product type.
3. **Deal Name:** Sets the required name investors see on their invitation and on the Invest page.
4. **Phone** Holds an optional contact number for the deal lead, shown to investors who need to reach you.

### The three product types

Three cards sit in the Product Type group, with Standard SPV selected by default. A Standard SPV holds one asset and closes once, so if you expect a second close or a second asset, choose Premium SPV or Fund.

* **Standard SPV:** Holds one US startup investment with a single close.
* **Premium SPV:** Holds custom assets and allows multiple closes, for an asset other than a US startup or a deal that closes more than once.
* **Fund:** Holds multiple assets through one entity, for a vehicle that invests in several companies.

> **Check pricing before you choose.** The Pricing and fees link opens the current price list for each product type.

# Valuations

The Valuations screen shows how each vehicle's holdings are currently valued. Open it to see which deals have moved above or below cost, and which still need records before they can be valued.

A valuation is the value recorded against an asset at a point in time. Investors see it as the current worth of their position, and it feeds Asset Under Management on the Dashboard.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/hggUruxBLrg2krcz5V4Q/Unknown%20image)

1. **Summary cards:** show how many deals have an asset and a company link, which a deal needs before it can be valued.
2. **Status filters:** Filter the table by deal stage, using the same seven statuses as the Dashboard.
3. **Selected status:** Shows which status filter is currently filtering the table.
4. **Type row:** Limits the table to SPV, FUND, or Multiple vehicles.
5. **Column headers:** Sort the table by any of its 11 columns when selected.
6. **Empty state:** Appears when the active filters match no deals, and clears once a filter is changed.

### Cards

Six cards sit above the table.

* **Total Deals:** The number of deals in the workspace that this screen can value.
* **With Assets:** Deals that have at least one asset recorded.
* **With Company Link:** Deals whose asset is linked to a company record.
* **Missing Assets:** Deals that still need an asset recorded before they can be valued.
* **Missing Company Link:** Deals that have an asset and still need a company link.
* **Multiple > 1x:** The number of deals currently valued above the price paid for them.

> **Start with the two Missing cards.** Once both reach zero, every vehicle in the workspace is valued and your AUM figure covers them all.

### The type row

One vehicle type is always selected in the type row.

To see every vehicle of that type, clear any status filter left on from an earlier session.

### The columns

* **Deal:** The vehicle whose valuation the row describes.
* **Assets:** The assets recorded against the vehicle, which the valuation is built from.
* **Files:** Supporting files attached to the valuation, such as a 409A report or a cap table.
* **Purchased Shares:** The number of shares the vehicle acquired.
* **Price / Share:** The price per share paid at purchase.
* **Multiple:** The current value divided by the price paid, so 1x means the position is valued at cost.
* **Company:** The company record linked to the deal, which supplies the current valuation.
* **Company Valuation:** The valuation held on the company record, from which the deal's multiple is calculated.
* **Status:** The deal's current status, matching the status shown on the Deals screen.
* **Type:** Whether the vehicle is an SPV or a Fund.

Hover over the info icon beside Price / Share, Multiple, or Company Valuation to see how the figure is calculated.

# Accounts

Accounts group your deals and entities. Use this screen to create accounts and see what each one holds.

Each account belongs to one manager or organization. Create the account before you set up a deal, because Setup asks you to attach the deal to an account.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/irPLGC8PVDvLrwS04aBW/Unknown%20image)

1. **Total accounts** Counts the accounts set up in the workspace.
2. **Search** Finds an account by typing any part of its name.
3. **Filter** Opens the filter panel for narrowing the list by deal or entity.
4. **Toolbar** Lets you refresh the list, export it, or create an account.
5. **Column headers** Sort the table by Name, Deals, Entities, or Created when selected.
6. **Deals and Entities** Count the deals and entities attached to each account.
7. **Actions** Opens the menu of actions available for that account, such as editing it.

### Why accounts come first

Three parts of the platform use accounts:

* Setup attaches each deal to an account.
* Taxes uses Partnership Representative defaults set on the account.
* Entities are grouped by account.

# Taxes

The Taxes screen tracks the tax return for every entity you manage. Open it to check each filing against the year's deadlines.

Investors see their K-1s on a separate Taxes screen in Portfolio. Consult your tax adviser on the returns themselves.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/MS5GcSWWn450r2vQ8Zqx/Unknown%20image)

1. **Filing timeline** Shows the four dated milestones of the tax year and which ones are complete.
2. **Partnership Representative banner** Recommends setting defaults at the account level, and links to Accounts.
3. **Search** Finds a return by typing the entity's name.
4. **Tax year selector** Sets the tax year the table and milestones describe.
5. **Status filters** Filter the table to entities at one of the 11 filing stages.
6. **Column headers** Label the five columns of the table, which holds one row for each filing entity.
7. **Filing status** Shows where one entity's return stands, from preparation through acceptance.
8. **Download Available 1065s** Downloads every completed return in one file.

### The filing timeline

Four milestones sit across the top of the screen, each with a completion marker, and the dates follow the selected tax year.

* **December to January:** The period for reviewing the year's activity before filing begins.
* **January 31:** The deadline to record the year's activity on the platform, including transfers, expenses, purchases, closes, and distributions.
* **March 15:** The initial filing deadline for partnership returns.
* **September 15:** The extended filing deadline for entities that filed an extension.

> **January 31 is the date to act on.** Record every transaction against its deal by then, so the year's activity flows into each return.

### The 11 statuses

The filter row lists Under Review, Needs Approval, Ready for Approval, Pending Filing, Approved, IRS Submitted, Accepted, Passthrough K-1, No Activity, Terminated, and Archived.

Three of these statuses need a short explanation:

* **No Activity** marks a return for a vehicle with no transactions in the year, which still counts as a filing.
* **Passthrough K-1** means the return is handled through another vehicle's K-1.
* **Terminated** marks the entity's final return before it is dissolved.

> Some returns show a status that has no filter, such as DRAFT. To find these, search by entity name.

### Partnership Representative defaults

The banner above the filters recommends setting Partnership Representative defaults on the account. Every partnership return needs a Partnership Representative, so setting it once on the account fills it in for each new entity. Accounts are described in **Accounts**.

### The columns

* **Entity Name:** The entity the return is filed for. Several deals on one entity share one return.
* **EIN:** The entity's tax ID, with a dash until one is recorded.
* **Extension Filed:** Shows whether an extension has been filed, with a dash until one is.
* **Actions:** Opens the actions available for that entity's filing.

> As March 15 approaches, sort on Extension Filed to find each entity still showing a dash. Each of those returns needs filing or an extension.

# Banking

The Banking screen lists every bank account across the vehicles you manage. Open it to check balances and find where money has arrived without opening each deal.

Banking appears in four places on the platform. Banking Setup in a deal's Setup tab opens an account. This screen reports across every account you manage. Each deal also shows its own accounts on its Banking tab and in its Investors tab.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/GLLHF6ilXdV4S99brLnq/Unknown%20image)

1. **Account list** Lists every account across the workspace, and selecting one opens its detail on the right.
2. **Hide $0 accounts** Removes unfunded accounts from the list when switched on, and is off by default.
3. **Account card** Shows each account's name, provider, last four digits, deal, entity, balance, and status.
4. **Last synced** Shows when the balance was last fetched from the bank, with Refresh beside it.
5. **Account Balance** Shows the balance as of the last sync, with the available amount below it.
6. **Account Details** Shows the account and routing numbers you give to a payer.
7. **Reveal control** Shows the full account number when you need to share it with a payee.
8. **Transactions** Lists every transaction on the account with a running total.
9. **Download Statement** Produces a downloadable statement for the selected account.

### Every account names its deal and entity

Each card names the deal the account serves and the entity that holds it, so this screen shows every account, deal, and entity together.

> **Hide $0 accounts** is off by default, so new escrow accounts appear at zero until their first deposit. Turn it on to see only funded accounts. Balances are accurate as of the last sync. Select **Refresh** before quoting a balance, and give the sync time with it.

### Transactions

The transaction table has five columns: Date, Category, Amount, Status, and Description, with a total at the foot.

Category shows two tags, such as TRANSFER and WIRE. Incoming amounts are positive and outgoing amounts are negative, and Status shows whether a transaction has posted.

> The Description column names the investor behind each incoming wire, so check it first when you match a wire to the Investors tab.

### Account details

Account and routing numbers show their last four digits, with a reveal control on the account number.

> Keep account numbers masked while sharing your screen. To pay someone from the account, add them in Wire Recipients on the deal, as described in **Wire Requests**.

# Wire Requests

Wire Requests is where you send money out of a vehicle. This screen tracks each request from creation through its approvals to the confirmation that the wire was sent.

This screen shows every request across the workspace, whichever deal raised it.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/dN0K7tjDLRHbDGefvXGD/Unknown%20image)

1. **Total wire requests** Counts the wire requests raised across every vehicle.
2. **Search** Finds a request by typing any part of its name.
3. **Filter** Opens the filter panel for narrowing the list by deal or status.
4. **Toolbar** Lets you refresh the table, export it, or create a wire request.
5. **Column headers** Label the five columns that trace each request from creation to a sent wire.
6. **Status** Shows how far the request has progressed toward being sent.
7. **Approvals** Shows how many approvals the request has received out of the number it requires.
8. **Confirmation:** Shows whether the bank has confirmed the wire. Select the arrow at the end of the row to open the request.

Two more columns describe the request:

* **Deal:** The vehicle the money is leaving, with the recipient below it.
* **Requested Amount:** The amount the wire will send to the recipient.

### Approvals are shown as a count

Every wire needs more than one approval, so the Approvals column shows how many approvals a request has out of the number it needs, such as 1 / 2 or 2 / 2.

> Sort on Approvals to see every request waiting for a second approval.

### Reading status against approvals

Read Status and Approvals together:

* Pending with 1 / 2 is ready for its second approver.
* Approved with 2 / 2 has every approval it needs.
* Completed with 2 / 2 means the wire has been sent.

> Wait for Completed before telling a recipient the wire has been sent.

### Adding the recipient first

Each request pays a recipient saved in Wire Recipients on the deal, so add the recipient there first.

> Add anyone who receives fees under Fee Recipients, the section beside Wire Recipients. Both are described in **The Investors tab**.

# Capital Calls

Capital Calls is where you collect capital that investors have already committed. You issue each call as a percentage of every commitment and track it until it closes.

This screen lists calls across every vehicle, and each deal also has a Capital Calls section in its Investors tab.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/BtE3K3R1EUBZGczuZkWr/Unknown%20image)

1. **Total capital calls** Counts the capital calls issued across every vehicle.
2. **Status filters** Filter calls by stage: Draft, Open, Closed, or Canceled.
3. **Search** Finds a call by typing any part of its name.
4. **Toolbar** Lets you refresh the list or issue a new capital call.
5. **Column headers** Sort the table by any of its seven columns when selected.
6. **Call Percentage** Sets the share of each investor's commitment that the call draws down.
7. **Amount** Shows the total the call percentage produces across the whole vehicle.
8. **Due Date** Shows when investors must pay, with the date the call was created beside it.

### A call is set as a percentage

You set one percentage and the platform calculates each investor's share. For example, an investor who committed $200,000 owes $100,000 on a 50% call.

> **Check the percentage before you issue a call.** Entering 50 to mean $50,000 calls half of every commitment, so confirm the Amount the platform calculates before you send.

### Four statuses

* **Draft:** The call is created and ready to issue.
* **Open:** The call has been issued and investor payments are on their way.
* **Closed:** The call is complete and every commitment has been received.
* **Canceled:** The call was withdrawn and stays on record.

> Sort Open calls by Due Date to see which payments to follow up first.

### Naming a call

Give each call a name with a vehicle prefix, the year, and a number, such as ALLOC-2025-01. Search finds calls by name, so a consistent name keeps the list easy to read.

# Distributions

Distributions is where you track proceeds returned to investors. Each row shows the vehicle, the status, and the date the money is due to arrive.

This screen lists distributions across every vehicle. Each deal also has a Distributions section in its Investors tab, and investors see their own Distributions screen in Portfolio.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/LaME4o4eykDDuHJepHSX/Unknown%20image)

1. **Total distributions** Counts the distributions recorded across every vehicle in the workspace.
2. **Search** Finds distributions by typing the deal's name.
3. **Refresh and Export** Let you refresh the table or export it.
4. **Column headers** Label the five columns, with one row for each distribution.
5. **Status** Shows whether the distribution is pending or has been completed.
6. **Requested Receiving Date** Shows the date investors were told to expect the money.
7. **Note** Holds a short description written when the distribution was created.

The table also shows the deal each distribution is paid from and the date it was created.

> **Follow up on Pending rows whose date has passed.** A row stays Pending until the distribution is completed.

### Creating a distribution

To create a distribution, open the deal's Investors tab and use its Distributions section, described in **The Investors tab**.

# Investor Network

Investor Network lists your investors and contacts across every vehicle. Open it to see who has invested, how much, and in how many deals.

Each person appears once on this screen, so an investor in three deals takes one row.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/KHvDHPmPgLksruOLXZbt/Unknown%20image)

1. **Total Invested** Shows the capital your network investors have committed across every vehicle.
2. **Search** Finds a person by typing their name or email address.
3. **Toolbar** Lets you refresh the list, export it, or add a contact.
4. **Column headers** Sort the table by any of its seven columns when selected.
5. **Source** Shows NETWORK for an investor with a commitment and CONTACT for a person you added yourself.
6. **Type and Company** Show the kind of holder, such as an individual or entity, and the company they represent.
7. **Total Invested and Deals** Show how much the person has committed and how many of your vehicles they are in.
8. **Edit and delete**Let you update or remove a contact you added yourself.

### Two kinds of row

The Source column divides this table in two.

* **NETWORK:** A person who has invested, shown with their type, the total invested, and the number of deals.
* **CONTACT:** A person you added yourself, shown with their company and with edit and delete controls at the end of the row.

> Contacts show a value in Total Invested and Deals once they make their first commitment. Network investor records come from their investments and are edited on the deal, while you can edit contact records here.

### Three investor types

Each network row shows one of three types:

* **INDIVIDUAL** is a natural person.
* **ENTITY** is a company, fund, or trust.
* **JOINT** is two people holding together.

The type matches the identity that signed for the investment.

### The Deals column

The Deals column shows how many of your vehicles an investor is in, which helps when you plan who to approach for a new raise.

# Membership Transfers

Membership Transfers tracks positions moving from one holder to another. Open it to follow each transfer from request to completion.

A transfer changes who holds an interest in a vehicle while the position stays the same, as in a secondary sale, an estate transfer, or a move into the holder's own entity.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/x4Erpmiya7pb3euTbjgz/Unknown%20image)

1. **Search** Finds a transfer by typing either member's name or email address.
2. **Refresh** Reloads the table so it reflects the latest transfers.
3. **Column headers** Sort the table by any of its six columns when selected.
4. **Status** Shows where the transfer stands: Pending, Approved, Completed, or Rejected.
5. **Existing Member and New Member** Name the holder giving up the interest and the holder receiving it.
6. **Blank New Member** Marks a rejected transfer, where the interest stays with its existing holder.
7. **Amount** Shows the value of the interest being moved between holders.
8. **Date** Shows the date the transfer was raised.

### Starting a transfer

A transfer starts from the position being moved, and this screen then tracks it to completion.

### Four statuses

* **Pending:** The transfer has been raised and is awaiting review.
* **Approved:** The transfer has been approved and is being completed.
* **Completed:** The transfer has settled and the interest now sits with the new holder.
* **Rejected:** The transfer was declined and the interest stays with the original holder.

> **Wait for Completed before telling either party the position has moved.** Approved means the transfer is authorized, and Completed means the holder has changed.

### Read both member columns together

A transfer can move an interest between two individuals, from an individual to an entity, or from an entity to an individual.

> Confirm with counsel that a transfer is permitted under the vehicle's operating agreement before you approve it.

# Syndicates

Syndicates lets you raise through a standing group of investors, so a group you have assembled once can be invited to each new deal together.

A syndicate is a named group of investors with its own description, and it stays in place from one deal to the next.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/mTsZaQMIUn7BHhhhxsOA/Unknown%20image)

6. **Status** Shows whether the syndicate is published and visible to investors.
7. **Investors** Counts the members who have joined the syndicate.
8. **Row menu** Opens the actions available for that syndicate, such as editing it or inviting members.

### Publishing a syndicate

PUBLISHED means investors can see the syndicate, so review its description and terms before you publish.

### The investor count

The Investors column counts the members of the syndicate. Total Investors on the Dashboard counts investors across all vehicles.

### Filtering

To see every syndicate, check the number on the Filter button and clear any conditions.

# The Overview tab

Overview is the first tab you see when you open a deal. It summarizes the raise and links to the tab that holds each detail.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/xPlJRPER0VkBg3uXe1gl/Unknown%20image)

1. **Tab row** Moves between the deal's 13 tabs, with an arrow at the left that brings the earlier tabs back into view.
2. **Raise progress** Shows committed, contributed, and goal, with the target close date and the days remaining.
3. **Progress bar** Draws contributed and committed as two segments against the goal, each with its percentage.
4. **Complete deal basics** Tracks the same eight basics as Setup, and each outstanding item links to the screen that resolves it.
5. **Investors preview** Shows the first few investors and the total, with a link to the full list.
6. **Banking** Shows the account provider, the current balance, and when it was last synced.
7. **Activity** Lists recent signings on the deal, newest first.
8. **Assets** Lists each holding with its type, location, and valuation.

### The tab row

A deal has 13 tabs, so scroll the row or use the arrow at the left to reach them all.

Overview · Setup · Investors · Banking · Closing · Invest · Data Room · Files · Pledges · Updates · Financials · Brokerage Account · Support

### Raise progress

* **Funds contributed:** The money received so far, with the number of investors it came from.
* **Funds committed:** The money investors have signed for, with its own investor count.
* **Funds goal:** The target for the raise, with the amount still remaining below it.
* **Target close:** The planned closing date, with the days remaining shown beside it.

> **Compare the three figures.** If committed is below the goal, the raise needs more investors. If contributed is below committed, investors have signed and their money is still on its way.

### Complete deal basics

The tracker shows how many of the eight basics are complete and lists each item still outstanding, with a link to the screen that completes it.

### Using Overview to review a deal

Read the screen in this order for a quick review of a deal:

1. The status beside the deal name, which shows whether the deal is waiting on you or on Allocations.
2. Complete deal basics, for any item that still needs your action.
3. The gap between contributed and committed, which shows whether to focus on fundraising or collection.
4. The days remaining, because a gap needs faster follow-up close to the target date.
5. The Banking sync time, before you rely on the balance.

# Deal Setup

Setup is where you configure a new deal before it goes to investors. You can complete its 10 sections in any order.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/S4iL2ioogNuQH3C0WxNL/Unknown%20image)

* **Financial Statements:** How often statements are produced, with a note that extra charges may apply.
* **Offering Type:** The exemption the raise relies on, such as 506c.

### The completion tracker

Complete deal basics sits under the section list and also appears on Overview.

> **Follow the arrow on a tracker item to open the right section.** Some items are completed in a section with a different name. For example, the Identity item is completed in Fund Manager and Advisor.

# The Investors tab

The Investors tab is where you manage a raise. Alongside the investor list, its 14 sections cover moving money, paying fees, and closing the deal.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/u9tbUY1HiWoDeuJvp0ih/Unknown%20image)

1. **Tab row** Moves between the deal's 13 tabs, from Overview to Support.

3. **View controls** Let you switch between table and Kanban layouts, export the list, or filter it.

### The 14 sections

A section with open items shows the number of items beside its name.

1. **Investors:** The investor table, which opens by default when you select the tab.
2. **Amount Change Requests:** Requests to change a subscription amount, with the number outstanding shown beside the name.
3. **Assets:** The assets this deal buys, with their type, location, and valuation.
4. **Banking:** The deal's bank accounts and balances.

* **Table:** The default view, which shows one row per investor.
* **Kanban:** Shows the same investors as cards grouped by stage.
* **Export:** Downloads the investor list as currently filtered.
* **Filter:** Opens a panel of conditions, with the number applied shown in brackets.

> If an investor you expect is out of view, check the number on the Filter button. Clear the filters before exporting when you want every investor in the file.

### Investor statuses

The filter row lists the statuses in the order an investor moves through them: All, Invited, Viewed, Completed, Signed, Committed, and Partially Transferred.

* **Invited:** The investor has been sent the deal and is yet to open it.
* **Viewed:** The investor has opened the Invest page for the deal.
* **Completed:** The investor has finished every step of the investor flow.
* **Signed:** The investor has signed the subscription documents.
* **Committed:** The investor's commitment is recorded against the deal.
* **Partially Transferred:** Part of the commitment has moved to another holder.
* **Wired:** The investor's money has arrived.

> Wired appears in the Status column but has no filter of its own, so sort by Status to group wired investors. **Clear KYC before you close.** Status shows progress with the paperwork and money, while KYC shows whether their KYC (Know Your Customer) identity checks have cleared, so every Signed investor needs KYC cleared before you request a close.

### Row actions

Five icons sit at the end of each row: a pencil, an envelope, opposing arrows, a person, and a document. Hover over an icon to see its name.

### Amount change requests

When an investor asks to change their subscription amount, the request appears in Subscription Amount Change Requests below the investor table, and the matching section in the list shows the number outstanding.

> Respond to each request soon, because the committed amount on the Overview tab updates when you do.

# Banking in a deal

The Banking tab shows the accounts, balances, and transactions for one deal. Open it to confirm what has arrived for that deal.

8. **Transactions** Lists every transaction on the selected account, with the investor named on incoming wires.
9. **Download Statement** Produces a downloadable statement for the selected account.

### The same screen with a narrower list

This tab works like the Banking screen, limited to one deal.

> To find an account for another deal, open Banking in the Funds sidebar.

### Deal and entity are both named

> **The entity owns the account.** When a bank, auditor, or investor asks whose account it is, give the entity name. Entities are described in **Entities**.

### Balance, Available, and Last synced

Select **Refresh** before quoting a balance, and give the sync time with it.

### Transactions

The transaction table works the same way as on the Banking screen, described in **Banking**.

> Check the Description column first when you match a wire to an investor on the Investors tab.

### Account details

> Keep account numbers masked while sharing your screen. To pay someone, add them in Wire Recipients on the deal, as described in **Wire Requests**.

# Closing

The Closing tab is where you follow a close after you request it. It shows the closing summary, the figures for each investor, and what the close means for distributions.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/utjySOPz9XdEGf2XB7ch/Unknown%20image)

4. **Empty state** Appears until the first close is created.

6. **Distribution notice** Reminds you to check the distribution figures against Banking before you share them with investors.

### Requesting a close

Create a close in the Closes section of the Investors tab, described in **The Investors tab**, and then follow it here.

### What appears once a close exists

A close produces a closing summary and the figures for each investor, covering units, fees, and carried interest.

> Check the figures line by line the first time you close.

### The Distribution Tracker

The Distribution Tracker sits below the Closing Tracker and shows what the close means for payouts. The Distributions screen in the Funds sidebar, described in **Distributions**, lists the payouts themselves.

### Before you request a close

Before you request a close, check the following:

1. Complete deal basics shows every item complete, as described in **Deal Setup**.
2. Every investor's KYC has cleared.
3. Every amount change request has been answered.
4. Banking has been refreshed and the wired total matches what you expect.

> Refresh Banking just before you request the close, so the close uses the latest balance.

# Invest

The Invest tab shows the deal exactly as investors see it. Review it before you share the deal link.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/pp8RP4RSmNYYs9IlAaDW/Unknown%20image)

5. **Pitch deck** Shows the deck with its page count and file size, and lets investors download it.
6. **Invest panel** Holds the minimum amount, the field where investors enter their amount, and the Invest button.
7. **Download wire instructions** Gives investors the verified banking details for sending their wire.
8. **Terms** Show the minimum, offering type, fee, carry, and signing deadline, drawn from Deal Info.

### **Sharing**

You control access through who receives the link and through the data room password, described in **Data Room**.

### **Terms**

The terms panel shows what was entered in Deal Info.

> **Some labels read differently for investors.** The Estimated Closing Date appears as Signing Deadline, and a fee frequency of none appears as once. A 2% fee with a frequency of once is a single 2% charge.

### **Amount**

The Invest panel opens with the minimum investment from Deal Info already entered.

> Investors can select Invest without changing the amount, so many will invest the minimum. Set it carefully in Deal Info.

### **Data room**

Investors open the gated materials from the Data Room sub-tab, entering the access code if you have set one.

### Wire instructions

> **Send investors to Download wire instructions for wire details.** The instructions come from the platform, so investors always get the correct account.

# Data Room

The Data Room holds the materials investors read before they commit. You can protect it with an access code, and it logs who opened each file.

Investors open the room from the Invest page.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/FpL8iKgEsFwJyOCAuXSn/Unknown%20image)

1. **Sub-tabs** Move between Documents, which holds the files investors can open, and Logs, which records who accessed them and when.

3. **Data Room Password** Sets an optional six digit code that investors enter before opening the room.
4. **Password field** Holds the code, with controls to reveal, copy, regenerate, or clear it.
5. **Documents table** Lists each file in the room with its name, type, and upload date.
6. **Row actions** Open, download, or delete a file from the end of its row.

### Access is logged

The Logs sub-tab records who opened each file and when, so you can see whether an investor has read the deck before a follow-up call.

### Password

When a password is set, investors enter a six digit code to open the room. The platform creates the code, and you can view it here at any time.

* **Reveal:** Shows the current access code on screen.
* **Copy:** Copies the code to your clipboard for sharing with investors.
* **Regenerate:** Issues a new code and retires the previous one.
* **Clear:** Removes the password, so anyone holding the deal link can open the room.

> **Regenerate replaces the code immediately.** Use it to reset access, for example after a colleague leaves, then share the new code with your investors. Keep a password on the room, because deal links can be forwarded.

### Upload limits

Export spreadsheet models to PDF before you upload them.

### **Data Room and Files**

* **Data Room:** The investor facing store, protected by the access code, logged, and opened from the Invest page.
* **Files:** The deal's internal store for your own working documents.

> If every investor should read a document, put it in the Data Room. If it is for your team, put it in Files.

# Files

The Files tab stores the deal's documents, filed by type. Open it to find a document or see which ones the vehicle still needs.

Files holds your own working documents, while the Data Room holds what investors read. You can also reach Files from Setup and from the Investors tab.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/WjINHk4tiyGAHPEJ2vH9/Unknown%20image)

3. **Column headers** Sort the table by any of its seven columns when selected.
4. **Type** Shows the kind of document chosen at upload, which decides the tab it appears under.
5. **Source** Shows whether the file was generated by the platform, uploaded to the deal, or added from Setup or the Investors tab.
6. **File name** Opens the document when you select its name.
7. **Delete** Removes the file from the deal.

### Files types

The type tabs include SPV Agreement, Subscription Agreement, Wire Instructions, Portfolio Wire Instructions, SS4, Financials, Resolution, and EIN Letter.

> The type tabs also work as a checklist. An empty tab shows a document the vehicle still needs. **File wire instructions under the right type.** Wire Instructions cover money coming into this deal, and Portfolio Wire Instructions are for investors.

### Source

Files come from three places: the platform when documents are signed, your own uploads, and Setup or the Investors tab. The Source column shows where each file came from.

### Changing a file

The file type is set at upload. To change it, delete the file and upload it again under the new type. If a file is out of view, check the number on the Filter button.

# Pledges

Pledges tracks soft commitments before investors sign. The board shows how much sits at each stage.

A pledge records an investor's interest before they sign.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/SENcFFxc3mSua2LOQhz0/Unknown%20image)

4. **Pledge** Creates a new pledge directly in that stage of the pipeline.
5. **WIRED** Holds pledges whose money has arrived, as the last stage of the pipeline.

### Stages

Drag a pledge to move it between the five stages.

* **DRAFT:** The pledge is recorded for your own planning, before you contact the investor.
* **DISCUSSION:** The pledge is in conversation, and the amount is still being agreed.
* **INVITED:** The investor has been sent the deal to review.
* **SIGNED:** The investor has signed and the pledge has become a commitment.
* **WIRED:** The money has arrived.

> Each stage shows how many pledges it holds and their total value

### Pledges and the Investors tab

Signed and wired investors also appear on the Investors tab.

> **Treat the Investors tab as the record.** Moving a card on the Pledges board updates the pipeline only, and the investor's record and money stay on the Investors tab.

### Reporting pledges

> When you report to investors, quote the committed figure from Raise progress on the Overview tab and treat pledges as pipeline.

# Updates

Updates is where you write and send updates to a deal's investors. Each update stays with the deal it is about.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/fOha0Bt6BKwud5HOtNs8/Unknown%20image)

1. **Create new** Starts a new update for sending to investors.
2. **Search updates** Finds an update by typing any part of its title.
3. **Update list** Lists every update on the deal, with drafts and sent updates together.
4. **SENT** Marks an update that has been delivered to investors.
5. **DRAFT** Marks an update you are still preparing, ready to edit before sending.
6. **Detail pane** Shows the selected update in full, with its recipients and send date.

> **Check the list for drafts.** A draft can sit below updates sent weeks earlier.

### Sending an update

An update goes to every investor in the deal and stays as sent, so check each figure before you select Send.

# Financials

Financials holds the vehicle's financial statements and its accounting ledger. Open it to review statements or post entries.

The section list has two entries: Files for statements and Ledger for accounting entries.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/xxrxSloLNZZDz86ohyUd/Unknown%20image)

1. **Section list** Moves between Files, which holds the statements, and Ledger, which holds the accounting entries.
2. **Statements table** Lists each statement with its name, who uploaded it, when it was created, and its review status.
3. **Pending review** Marks a statement awaiting your approval, with Review and download controls.
4. **Ledger** Holds the double entry ledger, with a switch between the chart of accounts and the entries.
5. **Counts** Show how many accounts the ledger holds in total, and how many are debit and credit accounts.
6. **New Entry** Posts a new debit or credit entry to the ledger.
7. **Chart of accounts** Lists each account with its reference number, currency, type, and balance.
8. **Type** Shows whether each account is a DEBIT or a CREDIT account.

### Statements

The fund administrator uploads each statement, and it arrives as Pending review with a Review button.

> **Review statements promptly.** These are the documents investors receive, on the schedule set by Financial Statements in Deal Info, described in **Deal Setup**.

### Ledger

The ledger holds the chart of accounts and the entries posted to it for this entity.

Each account has a reference number, currency, type, balance, and description. For example, Cash is a debit account, and Investor Contributions and Equity are credit accounts.

> Account numbers follow a common pattern: 1000s for assets, 3000s for equity, and 4000s for income and fees

### Accounts and Entries

Use the switch to move between Accounts, which shows balances, and Entries, which shows each posting.

> **Post entries with care.** Statements and investor reports use these balances, so route entries to whoever keeps the books for the entity.

### **Ledger and bank balances**

> The ledger records what has been booked and Banking shows what has cleared, so compare the two each reporting period.

# Deal Brokerage Accountcc

The Brokerage Account tab shows the securities a vehicle holds, with their value and the cash available. Open it before you report holdings to investors.

### **Accounts**

A brokerage account holds securities and a bank account holds cash, so a vehicle that buys public shares uses both. Bank accounts are described in **Banking**.

### **Figures**

> **Plan wires from Cash.** Account Value includes positions, while Cash is what you can spend now. Sale proceeds become cash once the trade settles.

### Positions

The positions table lists each holding with its ticker and company, price, quantity, market value, and total gain or loss, largest first.

# Deal Support

The Support tab holds every support conversation about a deal. Use it to raise or follow up a request with the Allocations team.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/q4Vsa4WczNBPhDR4HCUZ/Unknown%20image)

* **Open:** The thread is active and awaiting a reply from support.
* **Pending:** The thread is waiting on information or an action.
* **Closed:** The thread has been resolved and is kept on the deal's record.

### Starting a conversation

Select New to start a conversation.

# Portfolio Overview

Portfolio is the workspace for the capital you invest yourself. It covers your offers, positions, payouts, and the identities and accounts you invest through.

## Switching to Portfolio

Select **Portfolio** in the workspace switcher at the top of the sidebar. The sidebar then shows the Portfolio screens.

## The eight screens

* **Investor Dashboard:** Shows your portfolio value and every investment in one table.
* **Investments:** Shows the same positions in a full-screen table.
* **Offerings:** Lists the deals you have been invited into, with the price offered.
* **Identities:** Holds the people and companies you invest through.
* **Taxes:** Holds the K-1s issued to you, with a FAQ on Form 1065.
* **Cash Accounts:** Records the bank accounts and crypto wallets you invest from and receive money into.
* **Brokerage Accounts:** Records the brokerage accounts you have registered for receiving securities.
* **Distributions:** Lists the proceeds paid to you from the deals you hold.

## **Shared screen names**

Four screen names appear in both workspaces, and each opens a different screen depending on the workspace:

* **Taxes:** Funds holds the returns you file for each entity, while Portfolio holds the K-1s you receive.
* **Distributions:** Funds lists the payouts you issue, while Portfolio lists the money paid to you.
* **Identities:** Funds uses the identity filling a deal role, while Portfolio holds the identities you invest through.
* **Dashboard:** Funds leads with assets under management, while Portfolio leads with your portfolio value.

# Investor Dashboard

The Investor Dashboard is the first screen in Portfolio. It shows the total value of what you hold and lists every position.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/JLZWYQIgOO5WE3gvk26N/Unknown%20image)

1. **Portfolio Value** Shows the current valuation of everything you hold across all deals.
2. **Total Investments** Counts the investment activity recorded across all your deals.
3. **Status filters** Filter positions by stage: Completed, Signed, or Committed.
4. **Status filters, second row** Add Invited and Viewed for positions still awaiting your signature.
5. **Toolbar** Lets you refresh the table, export it, or add an investment held outside the platform.
6. **Subscription Amount** Shows the amount you committed to the deal, with a REQUESTED tag where you have asked to change it.
7. **Invested As** Names the identity that holds the position on your behalf.
8. **Capital Wired** Shows how much capital you have sent against your commitments so far.

### **Subscribed and wired**

Subscription Amount is what you agreed to invest, and Capital Wired is what you have sent. A Signed row with nothing in Capital Wired is a commitment still to fund.

> **Check the gap before a new commitment.** The difference between Subscription Amount and Capital Wired is the money you still need to send.

### **Invested As**

Each row names the identity that holds the position. A deal held through two identities appears as two rows. Identities are described in **Identities**.

### **Amount changes**

Two markers can appear beside a subscription amount:

* **REQUESTED** means you have asked to change the amount and the fund manager is reviewing it.
* **A pencil** appears on Signed rows and lets you edit the amount.

### Statuses

Some positions show the status ACTIVE, which has no filter of its own. To see these positions, turn off all status filters so every position shows.

# Investments

Investments lists every position you hold. It uses the same table as the Investor Dashboard, without the Portfolio Value card.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/rrGECm71kHcG62QGGKC1/Unknown%20image)

1. **Total Investments** Counts the positions you hold across all deals, matching the rows in the table.
2. **Status filters** Filter positions by stage: Completed, Signed, or Committed.
3. **Status filters, second row** Add Invited and Viewed for positions still awaiting your signature.
4. **Toolbar** Lets you refresh the table, export it, or add an investment held outside the platform.
5. **Column headers** Sort the table by any of its nine columns when selected.
6. **Status** Shows where the position stands, from Invited through Completed.
7. **Invested As** Names the identity that holds the position on your behalf.

### **Investments and Dashboard**

Use the Dashboard to see what your portfolio is worth, and this screen to work through positions, such as following up a wire, checking a status, or exporting a list.

> On this screen, Total Investments is the number of positions you hold, which matches the number of rows in the Investments table

### Columns

* **Deal:** The vehicle you invested in, with its legal entity shown below.
* **Subscription Amount:** The amount you committed to the deal.
* **Capital Wired:** The capital you have sent against that commitment.
* **Mgmt Fee %:** The management fee percentage charged on the position.
* **Carry:** The carried interest percentage the manager earns on profits.
* **Created:** The date the position was created.
* **Actions:** Opens the menu of actions available for that position.

> The Deal column shows the deal name and its legal entity. The entity name is what appears on your K-1, described in **Investor Taxes**.

### Add Investment

Select **Add Investment** in the toolbar to record a position you hold outside the platform.

# Offerings

Offerings lists the deals you have been invited into. Open it to review the terms and closing date before you commit.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/Nzw4fKiate6cZkYrWWFQ/Unknown%20image)

3. **Search** Finds an offering by typing the deal's name.
4. **Refresh** Reloads the table so it reflects the latest offerings.

6. **Unit Price** Shows the price per unit you are offered, with the share class below it.
7. **Closing Date** Shows the date the offering closes to new commitments.

## Offerings and investments

Once you commit to an offering, it moves to **Investments**.

## Share class

{% hint style="warning" %}
**Read the share class before you commit.** Classes in the same vehicle can have different fees, carried interest, and liquidation preference, and the deal's documents set out the terms.
{% endhint %}

## Closing date

Allow time for signing before the closing date.

{% hint style="info" %}
Your identity, accreditation, and KYC (Know Your Customer) checks must clear before a commitment completes, so finish your identity early. Identities are described in **Identities**.
{% endhint %}

# Identities

An identity is the legal person or company that signs documents and holds an investment. Use this screen to create and manage the identities you invest through.

You can hold several identities, such as yourself, your LLC, and your trust.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/LjgSsYAJY7LgYB3Sa6jF/Unknown%20image)

1. **Total Identities** Counts the identities you can invest through.
2. **Search** Finds an identity by typing its legal name.
3. **Toolbar** Lets you refresh the list, export it, or create an identity.
4. **SHARED** Identifies an identity that other users on your account can also invest through.
5. **Type and Entity Type** Show whether the identity is an individual or an entity, and the entity's legal form.
6. **KYC Status** Shows whether the identity's verification checks have cleared.
7. **Country** Shows the jurisdiction in which the identity is registered or resident.
8. **Delete and Actions** Let you delete or edit the identity from the end of its row.

### Two types

* **INDIVIDUAL:** A natural person, shown with a KYC status and a country, with a dash for Entity Type.
* **ENTITY:** A company, fund, or trust, shown with an Entity Type such as LLC, where KYC Status and Country can show a dash.

> KYC (Know Your Customer) checks confirm who a person is. For an entity, such as an LLC, the checks are done on the people who own or run it, so the entity's KYC Status can show a dash. To check an entity's verification, look at the identities of those people.

### KYC status

An identity shows APPROVED once its checks have cleared and PENDING while they are in progress. The fund manager sees the same status on the Investors tab.

> **Clear a PENDING identity early,** so you can sign as soon as an offer arrives. Offers are described in **Offerings**.

### **Investments per identity**

Each row counts the investments held through that identity. To see the total number of positions you hold, open **Investments**, where Total Investments matches the rows in the table.

### **Same name, different country**

You can hold identities in different countries, each with its own tax treatment, so the same name can appear twice. Use the Country column to pick the right one when you invest.

### Shared identities

Check who can use a SHARED identity before choosing it for a deal.

# Investor Taxes

Taxes in Portfolio lists the K-1s issued to you for each entity and tax year. You can view or download each K-1, see whether the entity has filed an extension, and read a FAQ on partnership tax returns.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/n2X5eFKGgQegxwYbNwAK/Unknown%20image)

1. **Search** Finds a K-1 by typing the entity or deal name.
2. **Tax year selector** Sets the tax year the table shows K-1s for.
3. **Download K-1s** Downloads every available K-1 in one file.
4. **Column headers** Sort the table by any of its four columns when selected.
5. **Investor** Names the investor the K-1 is issued to.
6. **Download and View** Let you download the K-1 or open it in the browser.
7. **FAQs** Open three sections of questions and answers on Form 1065 returns and K-1s.
8. **Disclaimer** Notes that the FAQ is general information and that your own position depends on the entity and your tax situation.

### What you receive and what the fund manager files

The fund manager files one return (Form 1065) for each entity, and each return produces a K-1 for every investor in that entity.

> **Search by entity to find a K-1.** The K-1 comes from the entity that holds the asset, and Investments shows which entity each deal sits on.

### The year selector

The tax year also appears on each K-1, so check the document when you file.

### Extension Filed

Extension Filed shows whether the entity has filed an extension. Initial returns are due in March, and extended returns in September.

> After the March deadline, check the Extension Filed column before asking the fund manager about a K-1.

### The FAQ

The FAQ has three sections: General, Filing, and Information on K-1. Read them before your first K-1 arrives.

# Cash Accounts

Cash Accounts is where you save the bank accounts and crypto wallets you use to invest and to receive distributions. Each account belongs to one identity

Select the identity on the left, then set up its crypto wallets and bank accounts.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/NV2aGbU3QhhaJ3zoyc1Q/Unknown%20image)

1. **Total Identities** Counts the identities you can hold cash accounts under.
2. **Identity list** Lists each identity with its type and country; select one to see its accounts.
3. **Crypto** Lists the wallets registered to the selected identity, with a form to add one.
4. **Wallet Address** Holds the receiving address for crypto distributions, in the format shown beside the field.
5. **Banking** Lists the bank accounts registered to the selected identity.
6. **Existing Banking Accounts** Lets you pick an account already on record for this identity.

### Two kinds of account on one screen

* **Crypto:** Takes an Asset Type such as USDC, a Network such as Ethereum Mainnet, and a Wallet Address, saved with Save Crypto Account.
* **Banking:** Offers a picker for existing accounts and a Create New option, with fields for Asset Type, Type of Bank Account, and Method.

> **Paste the wallet address and check it.** The address is 0x followed by 40 characters, and a crypto transfer to a mistyped address is permanent, so compare the last six characters with the source. **Select the right network.** A crypto transfer settles on the network it is sent on, so choose the same network the fund manager will use.

### Asset Type, account type, and method

Each bank account has three fields:

* **Asset Type** is the currency, such as USD.
* **Type of Bank Account** is the account category, such as Domestic US.
* **Method** is how payments reach the account, such as ACH, an electronic bank transfer.

> **Match the method to how the fund manager pays.** ACH and wire work differently, so set up an account that accepts the method shown on **Investor Distributions**.

### The summary card

The summary card counts identities. To count accounts, look under each identity.

# Investor Brokerage Accounts

Brokerage Accounts is where you add the accounts that receive shares when a vehicle distributes them. Each account belongs to one identity.

Select the identity on the left and fill in the form on the right.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/mpH0d1HOLhXnCfaEtUwt/Unknown%20image)

1. **Identity list** Lists each identity with its type and country; select one to add a brokerage account to it.
2. **DTC Number** Identifies your broker, chosen from the required list of DTC participants.
3. **Add your broker** Lets you enter your broker by hand when it sits outside the list.
4. **Brokerage Firm Name** Holds the required name of the brokerage firm.
5. **Account Number** Holds the required account number at that firm.
6. **Account Name** Holds the required name on the account, which should match the selected identity.
7. **Additional account information** Holds any further details the firm needs to receive securities.
8. **Create Brokerage Account** Saves the account and adds it to your list.

### **What a brokerage account is**

A brokerage account is an account at a broker that holds shares and other securities. When a vehicle pays investors in shares, the shares are sent to this account.

> **Add your brokerage account early.** When a vehicle distributes shares, they go to a brokerage account, so add yours before a distribution is announced.

### DTC Number routes the delivery

The DTC Number identifies your broker with the Depository Trust Company (DTC), which handles share transfers in the United States. Choose it from the list, or select Add your broker to enter it by hand.

> **Copy the details from a recent statement.** Four of the five fields are required, and the DTC number and account number must be exact for the shares to reach your broker.

### Account number and account name have to agree

Account Name should match the identity you selected, because the broker checks the name before accepting shares.

Additional account information is optional, for a sub-account reference or an instruction from your broker.

# Investor Distributions

Distributions in Portfolio lists the payments you receive from your deals. Open it to check your share and how it was paid.

The fund manager's Distributions screen shows the same payments from the paying side.

1. **Total Distributions** Counts the distributions paid to you across all deals.
2. **Search** Finds a distribution by typing the deal's name.
3. **Toolbar** Lets you refresh the list or export it.
4. **Column headers** Sort the table by any of its six columns when selected.
5. **Amount** Shows your share of the distribution in dollars, as paid to your account.
6. **Status** Shows whether the distribution is completed or pending.
7. **Method** Shows how the distribution is paid, by wire or by ACH.

The table also shows the deal each distribution is paid from, the receiving date the fund manager set, and the date it was created.

### Your share of each distribution

Compare each amount with your bank statement.

### Method shows where the money will arrive

The method shows which of your accounts receives the money, wire or ACH.

> **Check your account for ACH payments.** An ACH payment needs an ACH account on the identity that holds the position, so check your setup in **Cash Accounts**.

### Requested Receiving Date

> If a payment is still pending after its requested date, check the status and method, then contact the fund manager.

# Entities

Entities is the workspace for the legal vehicles you form and manage, such as the LLCs, LPs, and series behind your deals.

An entity is the legal company, such as an LLC or LP, that holds a deal's investment. It signs the deal documents, owns the asset, holds the bank account, and files the tax return. You connect a deal to its entity in the Entity section of Deal Setup.

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/kDzXoPXhqQgQemEEgI5y/Unknown%20image)

1. **Total Entities** Counts the entities set up in the workspace.

6. **Toolbar** Lets you refresh the list, export it, or create an entity.
7. **Type** Shows the entity's legal structure, such as LLC or LP.
8. **Formation Date and Created** Show when the entity was legally formed and when it was entered on the platform.

### The entity register

This screen lists every entity with its structure and status. Other screens handle each entity's accounts (Banking), tax return (Taxes), and deals (Deal Setup).

### Structures

There are four kinds of structure, and each comes as an LLC or an LP, so the structure filters show eight options:

* **Master LLC and Master LP:** A parent vehicle that holds series or funds beneath it.
* **Regular LLC and Regular LP:** A company or partnership formed for general purposes.
* **Standalone LLC and Standalone LP:** A vehicle formed for one purpose that holds its assets on its own.
* **Series LLC and Series LP:** A series that sits under a master and shares the parent's formation.

> **Agree the structure with counsel before you create the entity.** The structure is set at formation. Series entities sit under a master, while standalone entities hold their assets on their own.

### Five statuses

* **Draft:** The entity record is set up and ready to be formed.
* **Active:** The entity is formed and in good standing.
* **Inactive:** The entity has finished operating and holds no active deals.
* **Pending:** Formation is in progress, and the entity can hold a deal once it completes.
* **Audited:** The entity's financials have been through an audit.

> Use the Audited filter when investors ask which entities have audited financials.

### State and city

Each entity records its formation state and city.

> The formation state sets the rules for the operating agreement, franchise tax, and annual report, so add the deadlines for any entity formed outside Delaware to your compliance calendar.

### Entities and deals

One entity can hold several deals, as with the Fund product type or a Master with Series beneath it.

> Each entity files one tax return, and each investor's K-1 comes from the entity. When an investor asks for a K-1, check which entity the deal sits on, as described in **Taxes**.

# How to Invest?

### Step 1: Review the Deal Information

<figure><img src="https://2766774711-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2F9IirLidzibYpEfSBave3%2Fuploads%2FYKIRvgQvGmsJiwSBpZVv%2Fimage.png?alt=media&amp;token=09009617-3e54-4e04-8d7a-11a01627adc7" alt=""><figcaption></figcaption></figure>

Before investing, investors can review the deal details and supporting materials directly on the deal page.

The page typically includes a **pitch deck**, which provides an overview of the investment opportunity, including the company background, financial information, and strategic outlook. Investors can preview the deck within the platform or download it for offline review.

<figure><img src="https://2766774711-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2F9IirLidzibYpEfSBave3%2Fuploads%2FpcrbIyuRnNJrxrf4wtsb%2Fimage.png?alt=media&amp;token=81cbc95e-fa06-4cff-b67d-a2b89f3603ec" alt=""><figcaption></figcaption></figure>

Below the pitch deck, a **deal memo** may be provided. The memo generally includes information such as:

* The company introduction
* Market opportunity and industry trends
* Investment thesis
* Supporting research and insights

This information helps investors understand the context of the opportunity before committing capital.

On the right side of the page, the **Invest panel** displays key investment terms including:

* Minimum investment amount
* Offering type
* Management fee structure
* Carry percentage
* Signing deadline

These parameters define the structure and terms of the investment.

### Step 2: Enter the Investment Amount

<figure><img src="https://2766774711-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2F9IirLidzibYpEfSBave3%2Fuploads%2FmCsaBqkf14dcUYAZe8zo%2Fimage.png?alt=media&amp;token=8455d80b-01e9-4d2c-89b6-2723ea534df2" alt=""><figcaption></figcaption></figure>

Once the investor decides to proceed, they can enter the amount they wish to invest in the **Investment Amount** field.

The platform automatically checks the amount against the **minimum investment requirement** defined for the deal. If the entered amount is below the minimum threshold, the investment cannot proceed.

After entering the desired amount, the investor can click **Invest** to continue to the investment confirmation process.

### Step 3: Select or Create an Identity

<figure><img src="https://2766774711-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2F9IirLidzibYpEfSBave3%2Fuploads%2FHTI3cRCRvxcI9mF25GGV%2Fimage.png?alt=media&amp;token=dc6670a5-7554-49be-b194-4a0c00354212" alt=""><figcaption></figcaption></figure>

Every investment on Allocations must be associated with an **identity**, which represents the legal entity making the investment.

An identity can be:

* An individual
* A legal entity such as an LLC
* A trust
* Another investment vehicle

When proceeding with an investment, the platform prompts the investor to select an existing identity or create a new one.

If the selected identity has already completed the **Know Your Customer (KYC)** verification process, it will appear as **Completed**, allowing the investor to proceed immediately.

If an investor does not yet have an identity set up, they can create one directly from this page by selecting **Create Identity** and completing the required verification process.

This step ensures that all investments are properly attributed and compliant with regulatory requirements.

### Step 4: Review and Sign Investment Documents

Before completing the investment, investors must review and sign the required investment agreements.

These documents may include subscription agreements and other legal documents associated with the investment structure. The platform provides two options for accessing the documents:

* **View** – Opens the document for review directly in the platform.
* **Download** – Allows the investor to download a copy of the document.

Once the investor has reviewed the documents, they must confirm agreement by checking the box indicating that they have read and accept the terms and provisions.

After confirming, the **Sign and Invest** button becomes available. Clicking this button initiates the document signing process and records the investment commitment.

### Step 5: Investment Processing

<figure><img src="https://2766774711-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2F9IirLidzibYpEfSBave3%2Fuploads%2FP6freRSHuNQqQyePIQMW%2Fimage.png?alt=media&amp;token=020dfd32-bad3-41bf-89a1-5b272d274ec9" alt=""><figcaption></figcaption></figure>

After signing the documents, the platform begins processing the investment.

During this stage, the system performs several automated actions, including:

* Generating the investment receipt
* Merging the receipt with the signed SPV agreement
* Uploading and storing the finalized documentation

A progress window may appear while these steps are completed. Investors should avoid refreshing the page or closing the window during this process to prevent interruptions.

This automated workflow ensures that all documentation is properly generated and securely stored.

### Step 6: Investment Confirmation

<figure><img src="https://2766774711-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2F9IirLidzibYpEfSBave3%2Fuploads%2FZffpMDweQb01S8F3XQA5%2Fimage.png?alt=media&amp;token=5031c6b6-f3e1-4665-972f-ac7e6db6d717" alt=""><figcaption></figcaption></figure>

Once the investment has been successfully processed, the platform displays a confirmation message indicating that the investment is complete.

The confirmation page provides key details including:

* The investment amount
* The date of investment
* The identity used for the investment

At this stage, the investment is recorded within the platform.

### Step 7: Complete the Wire Transfer

<figure><img src="https://2766774711-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2F9IirLidzibYpEfSBave3%2Fuploads%2F5fpG4jGQUyAUkeW2tMul%2Fimage.png?alt=media&amp;token=1ace0f96-7283-4e48-a4ba-6a8359c20d50" alt=""><figcaption></figcaption></figure>

After the investment is confirmed, the investor must complete the capital transfer.

The platform provides **Wire Transfer Instructions**, which include the necessary banking information required to send funds for the investment. Investors can either view the instructions directly or download them for reference.

To finalize the investment, the investor should initiate a wire transfer from their bank using the provided instructions.

Investors may also have the option to select their preferred **distribution method** for potential future returns.

Distribution types may include:

* Cash
* Stock
* USDT
* USDC

This selection determines how proceeds from a liquidity event or distribution will be delivered to the investor.

Within the deal page, select the **Manage** tab to access the investor management section.

The **Investors table** displays all investors associated with the deal and includes information such as:

This section allows fund managers to track the onboarding progress of each investor.

### Step 3: Click "Invite to Invest"

To send a new investor invitation, click the **Invite to Invest** button located on the deal page.

This action opens the **Invite Investor** window where you can compose the invitation email.

The invitation will include a secure onboarding link that directs the investor to the deal page where they can begin the investment process.

### Step 4: Enter Investor Email

<figure><img src="https://2766774711-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2F9IirLidzibYpEfSBave3%2Fuploads%2FzeJh0o1nqM5QteG8W2CU%2Fimage.png?alt=media&amp;token=5b54f3f8-6b5b-45eb-bf24-06b724c7c71e" alt=""><figcaption></figcaption></figure>

In the invitation window, enter the **email address** of the investor in the **To** field.

This email address will receive the invitation to participate in the deal.

Once the invitation is sent, the investor will receive an email containing the onboarding link and instructions for completing their investment.

# How to close a deal

Once your **SPV has completed fundraising and you are ready to finalize the investment**, several steps must be completed within the **Fund Manager Dashboard**.

These steps ensure that all required documentation is in place, investor compliance requirements are satisfied, and the investment funds can be properly released for the asset purchase.

The SPV closing workflow includes uploading the executed purchase agreement, configuring the wire recipient for the asset purchase, submitting a close request, and initiating the outbound wire once the closing has been reviewed by the Allocations team.

You can perform all of these steps from the Fund Manager Dashboard:

<figure><img src="https://2766774711-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2F9IirLidzibYpEfSBave3%2Fuploads%2Fjyn3qWlchQ6SAeFGOZ0I%2Fimage.png?alt=media&amp;token=5ff2e79f-48fa-4048-9bfb-da09a0940d33" alt=""><figcaption></figcaption></figure>

## Step 1: Upload the Signed Purchase Agreement

Before the SPV can be closed, the fully executed **purchase agreement** must be uploaded to the asset associated with the deal.

This document confirms the final investment terms and allows the platform to properly record the transaction.

#### To upload the purchase agreement:

1. Navigate to the **Deals** page.
2. Select the relevant **deal**.
3. Open the **Manage** tab.
4. Navigate to **Assets**.
5. Locate the asset associated with the investment.
6. Click the **pencil icon** on the asset row.
7. Scroll to the bottom of the asset form.
8. Upload the **signed purchase agreement** file.

Once uploaded, the document will be stored with the asset and used during the closing process.

## Step 2: Add the Wire Recipient

Next, you must configure the **wire recipient** for the asset purchase. This specifies the destination account where the SPV funds will be transferred to complete the investment.

#### To add a wire recipient:

1. Navigate to the **Deals** page.
2. Select the relevant **deal**.
3. Open the **Manage** tab.
4. Navigate to **Wire Recipients**.
5. Click **+ Create**.
6. Complete the required information in the form.

This information typically includes the receiving bank details, beneficiary name, and other required wire instructions.

Once saved, the wire recipient will be available for the closing process.

## Step 3: Submit the Close Request

After uploading the purchase agreement and configuring the wire recipient, you can submit the **Close Request**.

#### To submit the closing request:

1. Navigate to the **Close** tab within the deal management interface.
2. Review the closing details.
3. Submit the **Close Request**.

Submitting the close request signals to the Allocations operations team that the SPV is ready to be finalized.

## Important Requirement: Investor KYC

Before the closing process can proceed, **all investors must have successfully completed KYC verification**.

The platform cannot release funds for the investment until the required investors have passed compliance checks.

#### To review investor KYC status:

1. Open the **deal**.
2. Navigate to the **Investors** section.
3. Select **Table View**.

Within the table, you can review the **KYC status** for each investor.

If any investors are marked as **pending or requiring review**, these issues must be resolved before closing can proceed.

## Allocations Team Review

Once the close request has been submitted, the Allocations team will review the deal and confirm the closing details.

During this process, the team will provide:

* A **breakdown of the deal economics**, including:
  * Total capital raised
  * Applicable platform or management fees
  * Final amount available to wire
* Any **remaining requirements** needed before the SPV can be closed, such as pending KYC verification or missing documentation.

This review ensures that all deal information is accurate before funds are transferred.

## Request the Outbound Wire

After the close request has been reviewed and the deal economics have been confirmed, you will be able to initiate the final wire transfer for the investment.

#### To request the outbound wire:

1. Navigate to **Wire Requests** in the platform sidebar.
2. Click **+ Create Wire Request**.
3. Complete the required wire request details.
4. Submit the request.

This request instructs the platform to transfer the SPV funds to the configured wire recipient.

## Processing Time

Please submit your **closing request as early as possible**.

Closing requests require **approximately 48 hours to process**. Additionally, investor funds must remain in the account **overnight** in accordance with banking requirements before the wire can be executed.

Allowing sufficient processing time ensures that the closing can be completed without delays.

Once the closing process is complete and the wire request has been executed, the SPV investment will be finalized and the funds will be transferred to complete the asset purchase.

# How to Issue Side Letters to Investors?

Side letters allow fund managers to provide customized terms to specific investors within a deal. These terms often include negotiated fee structures, such as modified management fees or carry percentages, that differ from the default terms applied to the rest of the investor group.

Allocations allows fund managers to issue side letters directly from the **Fund Manager Dashboard**, making it easy to apply updated fee terms and formally document these changes within the platform.

Once a side letter is issued, the system automatically generates the documentation and sends confirmation emails to both the fund manager and the investor.

## Step 1: Navigate to the Deals Page

To begin issuing a side letter, open the **Deals** section from the platform sidebar.

The Deals page displays all deals associated with your account. From this list, locate and select the deal that contains the investor whose terms need to be updated.

Once you select the deal, you will be directed to the deal management page where all investors participating in the deal are listed.

## Step 2: Locate the Investor

Within the deal page, navigate to the **Investors** section.

This section displays the full list of investors participating in the deal along with important information such as:

* Investor name
* Status
* KYC status
* Email address
* Investor type
* Subscription amount
* Fee structure

Use the investor list to locate the investor for whom you want to issue the side letter.

## Step 3: Edit the Investor Terms

Next to each investor row, you will find an **edit icon (pencil icon)**.

Clicking this icon opens the investor configuration panel, where you can update the investor’s specific deal terms.

Within this panel, you can modify the relevant fields that define the investor’s negotiated terms. This may include updates to the investor’s management fee percentage or other fee-related parameters associated with their investment.

## Step 4: Issue the Side Letter

After entering the updated terms, submit the changes through the dashboard.

When the updated fee terms are applied, the platform will automatically generate the **side letter documentation** reflecting the customized agreement.

This documentation formally records the investor’s negotiated terms within the deal.

## Confirmation and Notifications

Once the side letter has been issued:

* The platform generates the side letter documentation.
* A **confirmation email** is sent to both the fund manager and the investor.
* The updated fee structure is applied to the investor’s investment within the deal.

This ensures that both parties have a record of the updated agreement and that the platform reflects the correct investment terms.

# What are benefits of SPVs?

Why fund managers and investors use SPVs to pool capital and close deals faster

## What are the benefits of using an SPV?

SPVs simplify the private equity market for all stakeholders. Using an SPV as an investment vehicle has many benefits for fund managers, investors, and portfolio companies.

#### For fund managers: <a href="#for-fund-managers" id="for-fund-managers"></a>

* Legally compliant way of managing LP investments
* SPVs can be used to set up investments into single assets, multiple assets and funds
* Allows you to set up investments in a wide range of asset classes (startups, private equity, art, cryptocurrency, oil and gas, real estate...)
* By providing a way to quickly pool larger amounts of capital, fund managers can more easily negotiate rights, such as information rights, from the portfolio company
* Flexibility to set up the SPV according to their needs and requirements

#### For investors: <a href="#for-investors" id="for-investors"></a>

* Democratizes private equity by being able to invest in smaller ticket sizes
* Access to syndicated blockbuster private equity deals
* A fast and compliant way of investing, where all of the paperwork is arranged for the investor
* The possibility of selling an ownership stake of SPV interest offers more liquidity options

#### For portfolio companies: <a href="#for-portfolio-companies" id="for-portfolio-companies"></a>

* SPVs can provide a quick way of raising pooled capital
* Cleaner cap table, as all smaller ticket sizes appear under one entity name
* Angels investing in SPVs are often passive investors who won't try to influence the direction of the portfolio company

# Openstocks Manual V2

# 01 About this manual

This manual explains how to use the OpenStocks app at app.openstocks.xyz. Use it to read the trade desk, research a company, and buy a pre-IPO token from your own wallet.

## OpenStocks

OpenStocks is an onchain trade desk for tokenized private stocks. Each pre-IPO token is a BEP-20 token on BNB Chain that tracks the price of one private company.

Four companies are listed: Anthropic (oANTHROPIC), Figure AI (oFIGUREAI), Anduril (oANDURIL), and Neuralink (oNEURALINK).

The app is wallet-native. You buy and sell tokens from your own wallet on PancakeSwap and other BNB Chain exchanges, and trades settle in seconds.

## Pre-IPO tokens

A pre-IPO token gives you economic price exposure to a company. Ownership, voting, dividend, and information rights stay with the company's shareholders.

Token prices move with each company's outlook, so size each position with care and check the liquidity on the exchange before you place an order.

OpenStocks is an independent trade desk that lists and quotes pre-IPO tokens. Tokens are offered to persons outside the United States. For investment, legal, or tax guidance, consult your own advisers.

## How to use this manual

Pages are numbered in reading order, starting with the trade desk. Each page has four parts:

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/B1y4XcUEuX46U7Flq5cy/Unknown%20image)

1. **Ticker strip** Shows live token prices and their 30 day change at the top of every screen.
2. **Network and appearance controls** Choose the network the app reads from, and switch between dark and light mode.
3. **Sidebar** Moves between Trade, Ecosystem, Audits, and How it Works.
4. **Desk statistics** Show totals for AUM, Volume, Transactions, and Holders across OpenStocks.
5. **Table** Lists each pre-IPO token with its prices, valuations, and liquidity.
6. **Address controls** Open the token on BscScan or copy its contract address.
7. **View and Trade** Open the company page or the list of exchanges for the token.
8. **Add BSC Mainnet** Adds BNB Chain to your connected wallet in one step.

### Desk statistics

* **AUM:** The total value of pre-IPO tokens held on OpenStocks.
* **Volume:** The total value traded across all tokens.
* **Transactions:** The number of trades settled onchain.
* **Holders:** The number of wallets that hold a pre-IPO token.

### Table

Each row shows one token across eight columns. Compare the token price with the mark price to see whether a token trades at a premium or a discount. Each column is described in **Prices and valuations**.

### View and Trade

**View** opens the company page, described in **The company page**.

**Trade** opens the list of exchanges where the token trades, described in **Placing a trade**.

### Contract address

Check the contract address on BscScan before you send funds, so you know you are buying the token OpenStocks lists.

### BNB Chain

Pre-IPO tokens are BEP-20 tokens on BNB Chain, so your wallet needs BNB Chain to hold them. Select **Add BSC Mainnet** to add it. Your token balance then appears beside the live prices.

# 03 Prices and valuations

This page explains how OpenStocks prices each pre-IPO token. Use it to see whether a token trades above or below its mark price before you buy.

{% stepper %}
{% step %}

## Token price

Shows the live USDT price on PancakeSwap Infinity, with the 30 day change below it.
{% endstep %}

{% step %}

## Implied val

Shows the company valuation based on the token price.
{% endstep %}

{% step %}

## Mark price

Shows the reference price OpenStocks publishes, with the premium or discount below it.
{% endstep %}

{% step %}

## Mark val

Shows the company valuation based on the mark price.
{% endstep %}

{% step %}

## All time vol

Shows the total value traded since listing, with current liquidity below it.
{% endstep %}
{% endstepper %}

## Other columns

* **Product:** Names the company and its token.
* **Address:** Opens the token on BscScan or copies its contract address.
* **Actions:** Open the company page or the list of exchanges for the token.

## Premium or discount

The token price is what the token trades at on PancakeSwap Infinity. The mark price is the reference price OpenStocks publishes for the same token.

The percentage below the mark price shows the gap. A positive figure means the token trades at a premium, and a negative figure means it trades at a discount.

## Valuations

Implied val and mark val apply each price to the company's share count, so they move when the price moves. The company's funding round valuations are listed on the company page, described in **The company page**.

## Liquidity

Liq, below all time vol, is the liquidity on the exchange right now. It shows how large an order can be before the order moves the price.

{% hint style="info" %}
**Check liquidity before you size an order.** Then check the premium or discount to see how far the token price is from the mark price.
{% endhint %}

### Research reports

The Research section lists reports about the company from outside analysts, with their date, title, and publisher. Select a report to open it.

### Disclaimer

The note at the bottom of the page confirms that the token gives economic price exposure to the company. Ownership, voting rights, and dividends stay with the company's shareholders.

# 05 Placing a trade

This page shows how to buy a pre-IPO token. You choose the token on OpenStocks, then complete the trade from your own wallet on an exchange.

## Trade Window

There are two ways to start a trade. On the trade desk, select **Trade** in the token's row. On the company page, select **Get** at the top right. Both buttons open the same window, which lists the exchanges where you can buy the token

![](https://content.gitbook.com/content/9IirLidzibYpEfSBave3/blobs/KHpHW7wc1zo0QW3yk4f6/Unknown%20image)

1. **Close**\

4. **Exchange**\
Opens the exchange in a new tab with the token loaded.
5. **Wallets supported**\
Lists the wallets confirmed to hold the token.

## Exchanges

You can trade on PancakeSwap, 0x, 1inch, and ParaSwap, or inside Bitget Wallet, Binance Wallet, OKX Wallet, and Gate Wallet. The exchange sets the final price and fees, and shows the exact amount before you confirm.

## Wallets

Six wallets are confirmed to hold pre-IPO tokens: MetaMask, Trust Wallet, Coinbase Wallet, Rabby Wallet, Gem Wallet, and Zerion. Any wallet that supports BNB Chain and BEP-20 tokens can hold them.

## Before you trade

* **Network:** Set your wallet to BNB Chain, using Add BSC Mainnet on the trade desk if needed.
* **Gas:** Keep some BNB in your wallet to pay the network fee.
* **Contract address:** Copy the address from OpenStocks and check that the exchange loads the same token. Every deployed contract is listed in **Audits and security**.

## After the trade

Once the trade settles, the tokens are in your own wallet, and BscScan records the transaction. With your wallet connected, Portfolio shows the tokens you hold and their current value.

# 06 Ecosystem

The Ecosystem page lists the chains, stablecoins, protocols, exchanges, and wallets that work with OpenStocks. Use it to find services that connect to pre-IPO tokens.

4. **Category tags**\
Show which categories an entry belongs to.

## Categories

The six categories are Chain, Stablecoin, RWA, Yield, Trading, and Wallet. Select All to see every entry. An entry can be in more than one category, so the category counts add up to more than the total.

## Cards

Select a card to open the partner's site. Read the status and the description together to see where each integration stands.

## Key entries

The Chain entry is BNB Chain, where every pre-IPO token settles. The Trading entries are the exchanges in the trade dialog, and the Wallet entries are the wallets confirmed to hold the tokens. Both are described in **Placing a trade**.

# 07 Audits and security

The Audits page lists the security audits of the OpenStocks contracts and the address of each deployed contract. Open it before your first trade or when you want to check a token address.

## Getting started

This section answers five questions: what is listed, how to place a trade, which exchanges you can use, what you need first, and where your tokens appear afterward. The same steps are described in **Placing a trade**.

## Pricing and market data

This section answers four questions: how the token price is set, what the trade desk figures mean, how the final price is set on the exchange, and how to verify a token on BscScan. Read the answer on the final price before your first trade.

## Security and integration

This section answers three questions: who holds your tokens, how positions are protected, and what a pre-IPO token gives you.
